Our Client – an owner of a nationwide hypermarkets and medium-sized stores’ network that embraces over 180 posts – has entrusted us with a project of their legal preparation for sale. All the stores were conducted on rented premises. Our task was to carry out a legal audit of each post, complete documents confirming premises’ and building’s proper legal status and to compile an overall report. The commission was urgent, so its execution required following precise internal procedures and continuous progress’ monitoring. Thanks to the commitment of the audit team members, their thorough training and appropriate planning, our client has managed to present the buyer with complete documentation for all the posts within a specified term. A few months later, after the completion of other formalities, the transaction was finalized.
We represented a large bank in a complex transaction of financing the purchase and general reconstruction of a trading complex in Wroclaw. The investing entity was an international company that had reached an agreement with the current owner of a deeply indebted real estate and all its creditors. On first stage we faced an enormous legal challenge to settle sufficient credit collateral on the property encumbered with multiple mortgages for which there were also a number of enforcement proceedings conducted. The second stage of the transaction demanded transformation of a real estate short-term financing into the long-term investment loan in foreign currency. Such required a necessary adjustment of loan contract content and setting supplemental collateral. All the legal documents were prepared autonomously by our law office, taking into account the specific nature of the transaction and the legal standards of the bank that provided the financing. The total value of financing amounted to PLN 100 million.
